These Terms and Conditions are entered into by and between You and erba Inc. (“Company,” “we,” or “us”). The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, “Terms”), govern your access to and use of erba.co and any related digital properties, including all content, functionality, and services offered on or through those channels (the “Website”), whether as a guest or registered user.

Please read these Terms carefully before you start to use the Website. By using the Website, or by clicking to accept or agree to the Terms when this option is made available to you, you accept and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not wish to agree to these Terms or the Privacy Policy, you must not access or use the Website.

This Website is intended for users who are 21 years of age or older, or 18 years of age or older and in possession of a valid medical cannabis registration card where applicable. By using this Website, you represent and warrant that you meet these age requirements. If you do not meet these requirements, you must not access or use the Website.

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when posted and apply to all subsequent access to and use of the Website. ACCESSING THE WEBSITE AND ACCOUNT SECURITY

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some or all parts of the Website to users, including registered users.

To access certain features of the Website, you may be asked to provide registration details or other information. You agree that all information you provide is correct, current, and complete. • Your computer may temporarily store copies of materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your web browser for display enhancement purposes.
• You may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use and not for further reproduction, publication, or distribution.
• If we provide desktop, mobile, or other applications for download, you may download a single copy to your device solely for your own personal, non-commercial use, provided you agree to our end user license agreement for such applications.

All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

PROHIBITED USES

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

• In any way that violates any applicable federal, state, local, or international law or regulation, including laws and regulations governing the cannabis industry in your jurisdiction.
• For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
• To send, knowingly receive, upload, download, use, or re-use any material that does not comply with the Content Standards set out in these Terms.
• To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including “junk mail,” “chain letters,” “spam,” or any other similar solicitation.
• To impersonate or attempt to impersonate erba Inc., an erba employee, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which may harm erba Inc. or users of the Website, or expose them to liability.

Additionally, you agree not to:

• Use the Website in any manner that could disable, overburden, damage, or impair the site.
• Use any robot, spider, or other automatic device, process, or means to access the Website for any purpose, including monitoring or copying any material on the Website.
• Use any manual process to monitor or copy any material on the Website without our prior written consent.
• Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
• Attack the Website via a denial-of-service attack or distributed denial-of-service attack.

You represent and warrant that you own or control all rights in and to the User Contributions, that all User Contributions comply with these Terms, and that you are responsible for any User Contributions you submit, including their legality, reliability, accuracy, and appropriateness. erba Inc. is not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user.

CONTENT STANDARDS

User Contributions must comply with all applicable laws and may not contain defamatory, obscene, indecent, offensive, harassing, violent, or discriminatory material. Content that infringes on intellectual property rights, promotes illegal activities, or violates cannabis advertising regulations in any applicable jurisdiction is also prohibited.

MONITORING AND ENFORCEMENT

erba Inc. reserves the right to remove or refuse to post User Contributions for any reason, disclose the identity of users who violate these Terms, and take appropriate legal action. erba Inc. is not liable for content it does not review or immediately remove.

COPYRIGHT INFRINGEMENT AND DMCA COMPLIANCE

erba Inc. respects copyright laws and intellectual property rights, and we expect the same of our users. In accordance with the Digital Millennium Copyright Act of 1998 (“DMCA”), we will respond with due diligence to claims of copyright infringement. If you believe your copyrighted material is being used on the Website without permission, please send an email to info@erbamn.com that includes:

• A physical or electronic signature of a person authorized to act on behalf of the copyright owner;
• Identification of the copyrighted work claimed to have been infringed;
• Identification of the material claimed to be infringing, including a screenshot and URL where it appears;

The Website and its content are provided “as is.” erba Inc. disclaims all warranties, including express or implied warranties of merchantability and fitness for a particular purpose. erba Inc. is not liable for any damages arising from your use of the Website. Nothing on this Website constitutes legal, financial, medical, or cannabis compliance advice. Consult a qualified professional before making any decisions based on information found on this Website.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless erba Inc., its affiliates, licensors, and service providers, and each of their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Website.

GOVERNING LAW, JURISDICTION, AND ARBITRATION

All matters relating to the Website and these Terms, and any dispute or claim arising therefrom or related thereto, shall be governed by and construed in accordance with the internal laws of the State of Minnesota, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Minnesota, in each case located in Hennepin County, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your county of residence or any other relevant county. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

At erba Inc.’s sole discretion, it may require you to submit any disputes arising from these Terms or use of the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association applying Minnesota law.

ENTIRE AGREEMENT AND SEVERABILITY

These Terms, together with our Privacy Policy and any other documents expressly incorporated by reference, constitute the sole and entire agreement between you and erba Inc. regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
